- Affiliates and Subsidiaries. We may share all information we collect within the Vivun family of companies.
- Service Providers. We may provide access to or share your information with select third parties who perform services on our behalf. These third parties provide a variety of services to us, including without limitation billing, sales, marketing, provision of content and features, advertising, analytics, research, customer service, shipping and fulfillment, data storage, security, fraud prevention, payment processing, and legal services.
- Third-Party Integrations. When you initiate a connection with a third-party integration through the Services (e.g., Jira, Rally, CA Technologies, GitHub, Slack), we will share information about you that is required to enable your use of the third-party integration through the Services.
- Business Transfers. If the ownership of all or substantially all of our business changes, we may transfer your information to the new owner so that the Services can continue to operate. In such case, your information would remain subject to the promises and commitments contained in this Privacy Policy until such time as this Privacy Policy is updated or amended by the acquiring party upon notice to you. If such transfer is subject to additional mandatory restrictions under applicable laws, Vivun will comply with such restrictions.
- Public Forums. The Services make it possible for you to upload and share comments or feedback publicly (i.e., outside of the Vivun mobile and web app) with other users, such as on the Vivun Expertise blog. Any information that you submit through such public features is not confidential, and Vivun may use it for any purpose (including in testimonials or other Vivun marketing materials). Any information you post openly in these ways will be available to the public at large and potentially accessible through third-party search engines. Such information can be read, collected and/or used by other users, and it could be used to send you unsolicited messages. Accordingly, please take care when using these features of the Services.
- Aggregate/De-Identified Information. From time to time, Vivun may share Aggregate/De-Identified Information about use of the Services, such as by publishing a report on usage trends. As stated above, this Policy places no limitations on our use or sharing of Aggregate/De-Identified Information.
- Subcontractors: Independent Contractors. We may employ the assistance of independent contractors to work on specific projects. We train these independent contractors on applicable Vivun policies and they are required to adhere to substantially the same data security practices as are Vivun employees.
- As Required by Law. We release information about you if we believe we must do so to comply with the law or a subpoena, bankruptcy proceeding, or similar legal process.
- To Protect Rights. We may disclose information about you, such as your name, contact information, and billing information, to enforce our agreements with you or to protect the rights and safety of Vivun, our customers, our users, and the general public, or as evidence in litigation in which we are involved.
- In a Business Transaction. If Vivun is involved in a merger, acquisition, or sale of all or a portion of its assets, your information may be transferred to the acquiring entity as part of the transaction, and may also be reviewed as part of the due diligence review for the transaction. For example, we may need to provide a list of all customer accounts and payment histories.
When you interact with AI-powered features, we may process personal information such as text inputs, uploaded files, or other data you voluntarily provide. We use this information solely for the purpose of delivering and improving the service.
While certain outputs are generated automatically, our team monitors and tests AI systems to help ensure quality, accuracy, and compliance with applicable laws. Human review of data is limited to what is necessary for these purposes.
You can choose not to use specific AI-enabled features where optional. If you have questions or concerns about how AI is used in our services, please contact us at legal@vivun.com.
Certain Vivun Services may include features that allow users to participate in or initiate audio and/or video calls through the platform. When enabled by you or your organization, these features may record and analyze such calls to provide functionality including automated transcription, summarization, or generation of personalized AI avatars or assistants (collectively, the “AI Avatar Feature”).Data Collected
When you use these features, Vivun may collect and process:
- Audio and video recordings of meetings, calls, or other interactions;
- Transcripts or summaries generated from recorded content; and
- Voice, likeness, or behavioral data (e.g., speech patterns, expressions, or gestures) used to generate or train your AI avatar.
Legal Basis and Consent
Vivun records or analyzes calls only where permitted by law and consistent with user or Customer settings. Depending on your location, Vivun or its Customers may be required to obtain consent from call participants before any recording occurs. By participating in a recorded or AI-enabled call, you consent to such collection and processing. If you do not wish to be recorded, you should decline participation in these calls or request that recording be disabled.Use and
Recordings and derived data (including transcripts or avatar models) are stored securely and retained only for as long as necessary to provide the service or as otherwise authorized by the Customer. Vivun does not sell or use recordings for advertising purposes. Aggregate or de-identified data may be used for service analytics and improvement consistent with this Privacy Policy.Disclosure and Access
Access to call recordings and AI-generated content is restricted to authorized users and personnel, including those necessary to operate, maintain, and improve the service. Vivun may also disclose such data as required by law or as otherwise described in this Privacy Policy.Your Choices
You may opt out of optional AI Avatar Features through your account settings or by contacting us at privacy@vivun.com. If your account is managed by a Vivun Customer (such as your employer), please contact the administrator for available options.

Demonstration and Evaluation Environments
Demonstration Services. Vivun may make available certain software demonstrations, preview features, trial environments, sandbox instances, or other evaluation versions of the Services (collectively, “Demo Services”). Demo Services may be provided directly to end users, through a publicly accessible online environment, or otherwise free of charge for evaluation or informational purposes.
Evaluation Purposes Only. Demo Services are provided solely for non-production, internal evaluation purposes. Demo Services may contain limited functionality, simulated features, pre-release components, or incomplete documentation, and may be modified or discontinued at any time without notice. Demo Services are not intended for operational, commercial, or production use.
No Reliance. You acknowledge and agree that you are not relying on the availability, functionality, performance, or future development of any Demo Services, nor on any statements, materials, demonstrations, or representations related thereto, in entering into this Agreement or making any business, technical, purchasing, or investment decision. Demo Services do not constitute a commitment, promise, or obligation to deliver any current or future product, feature, or functionality.
Disclaimer of Warranties. Demo Services are provided “AS IS” and “AS AVAILABLE,” without warranties of any kind, whether express, implied, statutory, or otherwise, including without limitation warranties of merchantability, fitness for a particular purpose, non-infringement, availability, accuracy, or performance. Vivun does not warrant that Demo Services will be uninterrupted, secure, or error-free.
Limitation of Liability for Demo Services. To the maximum extent permitted by law, Vivun shall have no liability arising out of or relating to Demo Services or use thereof. Without limiting the foregoing, Demo Services are provided without any service level commitments or support obligations.
Data and Security. Demo Services may not include the security, compliance, backup, or data retention controls available in production environments. You agree not to upload or transmit confidential, personal, regulated, or production data into any Demo Services. Vivun may monitor usage of Demo Services for testing, analytics, security, and improvement purposes as described in the Privacy Policy.

16.2 Use of AI Technology Vivun will not use, disclose, or process any Customer Data (including any derivative, subset, or compilation of such Customer Data) through AI Technology except as explicitly authorized herein. Vivun will only use AI Technology as necessary to provide Services to the Customer and strictly in accordance with the terms of this Agreement.
16.3 Additional Restrictions Vivun, and any party acting on its behalf, shall not:

Does the Destination Country Have Comprehensive Data Protection Law? | The USA does not have comprehensive data protection law that applies to government authorities. However, there are various laws that govern the collection, use and disclosure of personal information by US federal and state governments. For example, the Privacy Act establishes a code of fair information practices regarding the use of personal information by federal agencies. In the context of USG surveillance activities, there are a number of protections and safeguards that apply to USG collection and use of data in connection with security and surveillance. - By attending the event each Participant acknowledges and states that they are aware that there are inherent Risks (hereinafter “Risks”) to which I may be exposed while participating on this Event, which include but are not limited to the following:
- Theft, vandalism or loss of personal property;
- Illness, or other physical incapacity/injury
- Injury or death;
- Exposure to different environmental and weather conditions than those in your Participant’s country, or place of residence, including extreme cold, wind, and winter related conditions;
- That the laws of the Location, as well as those places traveled to or through on the Trip, may be significantly different than those in Participant’s home country, or place of residence;
- inexperience or unfamiliarity with any activity or its requirements;
- Unfamiliarity with the Location or any facilities therein;
- Faulty equipment, gear or inadequate instruction;
- Violence or criminal acts of others;
- That Participants may be required by the laws of their home country to comply with illness testing, quarantine, or other health and safety measures as part of their travel to or from the Location;
- Risk of injury inherent in engaging in any type of indoor or outdoor sports or recreational activities;
- In light of the foregoing, by attending the event, all Participants understand and acknowledge that these risks may result in personal injury, including but not limited to the following: Collision with: other players/participants, sports/recreational equipment, structures, vehicles, swimmers, vessels or surfers; Slips/trips/falls; falls from heights, fractures/broken bones; sprains/strains; bruises; lacerations; punctures; concussion; loss of consciousness; physical exhaustion/heat exhaustion; hypothermia, eye injuries; sunburn/windburn/camping burns; drowning; diving/boating accidents; bites/stings/burns/rashes from contact with animals/insects or sea life; sun poisoning or stroke; injuries from shark attack; spinal injuries; paralysis; brain damage; serious injury to internal organs, bones, ligaments, joints, muscles, tendons, and other aspects of the muscular skeletal system; neck, face and head injuries; ear injuries, heart attack; sickness; suffocation; and/or death as a result of the nature of some related activities. All participants freely accept and fully assume all such Risks and the possibility of any and all related personal injur(ies), death(s), and instances of property damage or loss, resulting therefrom.
- Participant’s traveling for and participation in the Event is voluntary and that this event carries with it certain dangers and risks not limited to those outlined herein;
- Participant is aware that they are free to decline to engage in any activities related to or in connection with the Event (whether or not provided by, paid for, or sponsored by Vivun), and enters into or engages with any such activity free from any influence and of their own accord;
- Participant will not undertake any activity without the proper and necessary gear or related equipment;
- Participant is solely responsible for any injuries to persons or property which may be incurred in connection with my participation in the Event;
- Participant understands that it is Participant’s sole responsibility to learn as much as possible about the Risks of the Event and to weigh those Risks against the advantages, and to decide whether or not to participate;
- Participant has checked the weather for all locations they reasonably anticipate interacting with while on the Event prior to their departure;
- Participant has or will become familiar with recreational activities that Participant plans to do, and shall not undertake any activity with which they are unfamiliar or otherwise unprepared;
- Participant is solely responsible for and will bring appropriate clothing, footwear, supplies, protective gear (including gear necessary for all sport related activities) suitable for destination weather, and anticipated outdoor or recreational activities;
- Participant will not bring valuables or, to the extent that valuables are brought, is solely responsible for ensuring that such valuables are kept secure at all times;
- Participant will bring, and is solely responsible for, all necessary medications, medical devices, or emergency medical kits.
- Participant has independently researched and reviewed all travel and medical notices pertaining to the Location or the Event which have been issued by Participant’s home country or those countries through with Participant will, or may reasonably expect to interact with during the Event.
- TO RELEASE THE RELEASEES from any and all liability for any loss, damage, injury or expense that Participant might suffer, or that Participant’s next of kin may suffer, as a result of Participant’s participation in an Event due to any cause whatsoever, INCLUDING BREACH OF CONTRACT, OR TORTIOUS ACTS OR OMISSIONS (INCLUDING NEGLIGENCE) ON THE PART OF THE RELEASEES;
- TO HOLD HARMLESS AND INDEMNIFY THE RELEASEES from any and all liability for any damage to the property of, or personal injury to, any third party, resulting from Participant’s acts or omissions while participating in an Event;
- THIS AGREEMENT SHALL BE EFFECTIVE AND BINDING UPON PARTICIPANT’S HEIRS, NEXT OF KIN, EXECUTORS, ADMINISTRATORS, ASSIGNS AND REPRESENTATIVES IN THE EVENT OF PARTICIPANT’S DEATH OR INCAPACITY;
- By attending the Event Participant acknowledges and agrees that Participant is entering into this Agreement, Participant is not relying upon any oral or written representations or statements made by the Releasees other than what is set forth in this Agreement;

Community Overview:
It is important that Community Members feel that Online Communities are safe spaces. As such, by participating all Community Members acknowledge and agree to both these Community Guidelines as well as the Vivun Terms of Service, Vivun Event Release of Liability, Waiver of Claims, Assumption of Risks, Indemnity for Claims, and Photo/Video Release, and the Vivun Privacy Policy.
Online Community Rules:
- You must be 18 to participate an Online Community. Sorry, no kids allowed!
- Online Content is only permitted when it does not violate these Community Guidelines or the Vivun Terms of Service. Additionally, Online Content is not permitted where it is illegal, obscene, threatening, defamatory, invasive of privacy, infringing of intellectual property rights or otherwise injurious to third parties or objectionable, and does not consist of or contain software viruses, political campaigning, commercial solicitation, email addresses, URLs, phone numbers, physical addresses or other forms of contact information, chain letters, mass mailings, or any form of “spam.”

- You agree that you are responsible for your Online Content. Your Online Content includes items that you post, submit, or make available to others, and for any consequences thereof. Vivun has the right, but not the obligation, to monitor, edit, to not post and/or to remove any Online Content.
- Be professional and respectful to other members. This means that you will communicate with empathy, give other Community Members the benefit of the doubt, and that you will be mindful of how others want to be addressed. In other words, just be decent. Not every Community Member will agree with one another, nor will you like everyone you meet, that being said, your participation in the Online Community requires you to show a high level of respect for every Community Member.

If anybody sends you a message with an intention of acquiring or inviting you to join their brand, please contact the Vivun Online Community Members.
Enforcement Policy
If the initial behavior is severe and or illegal, a warning will not be given and the member will be removed immediately.
Additionally, the community board, made up of both members of the community and the Vivun team, can remove any members without cause.

- By becoming a Community Member of a Vivun Online Community, each Community Member acknowledges and agrees that any and all membership benefits provided by Vivun are solely at the discretion of the Vivun. Community Member further acknowledges that Vivun reserves the right to modify, change, or discontinue any membership benefits at any time without prior notice.
2. No Legal Obligation: Community Member understands and agrees that the provision of membership benefits by Vivun does not create any enforceable legal responsibility on the part of Vivun to fulfill such benefits. Vivun assumes no obligation, whether express or implied, to provide any specific benefits and expressly disclaims any and all liability for the fulfillment of membership benefits.
3. Discretionary Nature of Benefits: Vivun retains the sole and exclusive right to determine the nature, type, and scope of any membership benefits offered to its Community Member. Vivun may, at its sole discretion, add, remove, or modify benefits, and such changes shall not give rise to any legal claims or liabilities against Vivun.
4. No Warranties or Guarantees: Vivun makes no warranties or guarantees, whether expressed or implied, regarding the availability, quality, or any other aspect of the membership benefits. Vivun disclaims all warranties, including but not limited to, the implied warranties of merchantability and fitness for a particular purpose.
5. Limitation of Liability: In no event shall Vivun be liable to a Community Member or any third party for any direct, indirect, incidental, special, or consequential damages arising out of or in any way connected with the provision or non-provision of membership benefits, even if Vivun has been advised of the possibility of such damages.
6. Governing Law This Disclaimer shall be governed by and construed in accordance with the laws of the state of Delaware, without regard to its conflict of law principles.

Vivun has no control over the conduct of Community Members, and disclaims all liability in this regard to the maximum extent permitted by law. Vivun has not conducted background checks or otherwise screened any of the Community Members participating in this forum in any way, and Vivun MAKES NO WARRANTIES OR REPRESENTATIONS ABOUT COMMUNITY MEMBERS.
- Each Community Member understands that they are solely responsible for your health, safety, and well being and that Vivun MAKES NO WARRANTIES OR REPRESENTATIONS ABOUT THE SUITABILITY, RELIABILITY, AVAILABILITY, SAFETY, OR TIMELINESS OF THE ONLINE COMMUNITY, ANY ONLINE CONTENT PUBLISHED THEREIN, OR RELATED COMMUNITY MEMBERS. Vivun Inc. - Consumable Credit Terms
- Consumable Credits - Service Credits and Consumption Mechanics
- Certain functions within the Services operate on a consumption-based model pursuant to which Customer is granted a pool of Consumable Credits (“Consumable Credits”) as specified in the applicable Order Form. Consumable Credits are consumed through Customer’s use of certain features, functions, or activities within the Services that require the expenditure of Consumable Credits (“Credit-Consuming Activities”). Consumable Credits are deducted from Customer’s available balance as such Credit-Consuming Activities are utilized.
- Each Credit-Consuming Activity has an associated rate at which Consumable Credits are consumed (“Consumption Rate”). Consumption Rates may differ across Credit-Consuming Activities based on, among other factors, the nature of the activity, computational intensity, third-party dependencies, infrastructure utilization, and ongoing development and support costs. “Credit Consumption Rate” means, with respect to each Credit-Consuming Activity, the number of Consumable Credits deducted from Customer’s available Credit balance, calculated as the applicable multiplier set forth in the then-current Credit Consumption Rate Card multiplied by the corresponding unit of measure or usage type (e.g., per minute, per transaction, or other defined metric) specified therein. Credit Consumption Rates are defined per activity in the Rate Card and may be modified by Vivun from time to time on a prospective basis in accordance with the Agreement.
- Vivun may modify Consumption Rates for any Credit-Consuming Activity from time to time in response to changes in the Services, underlying costs, technical requirements, usage patterns, or market conditions. Any such modifications will apply prospectively only and will not require an amendment to this Agreement or the applicable Order Form. Modified Consumption Rates will apply solely to Credit-Consuming Activities occurring after the effective date of the change and will have no impact on Customer’s cost per credit.
- Credits are applied on a pooled basis across all Credit-Consuming Activities within the Services, regardless of product, module, or feature, unless otherwise expressly stated in an applicable Order Form. Customer may allocate and utilize its Credits across any available Credit-Consuming Activities in its discretion, subject to the applicable Consumption Rates and availability of the Services.
- Each Credit-Consuming Activity has a distinct Consumption Rate. When multiple Credit-Consuming Activities are utilized simultaneously or in connection with a single workflow, Credits may be consumed concurrently for each applicable activity, and the total Credits deducted will reflect the aggregate of all applicable Consumption Rates.
- Service Credit Consumption Rates. The consumption rates applicable to Customer’s use of Consumable Credits-based features of the Services is subject to Vivun’s then-current Credit Consumption Rate Card (“Rate Card”), available at https://legal.vivun.com/legal.html#contract-sjeittlxbe, which describes applicable Credit Consumption Rates and related mechanics.
- Data Artifact Storage and Retention; Credit Consumption. Customer acknowledges that Credits may also be consumed in connection with the storage and retention of data generated by Credit-Consuming Activities, including stored calls and related artifacts. Customer further acknowledges that storage and retention costs increase over time as usage accumulates and that, as a Credit-Consuming Activity, such storage and retention pricing is intended to support scalability of the Services without modification of core commercial terms. Vivun may delete stored calls and related artifacts upon the earlier of (i) the expiration or termination of Customer’s subscription to the Services or (ii) three (3) years from the date such data is generated. All storage and retention practices are subject to and governed by Vivun’s security and data retention policies.
- Consumable Credits – Prepaid and Arrear Billing:
- Prepaid Credits. Customer may purchase in advance a package, or specific number of Consumable Credits (“Prepaid Consumable Credits”) as set forth in the applicable Order Form or through any other purchasing process. Customer shall pay in full for such Prepaid Consumable Credits upon purchase.
- Consumption Period and Expiration. Prepaid Consumable Credits must be utilized within the Consumption Period, as specified in the applicable Order Form. Any unused Consumable Credits at the end of the Consumption Period shall expire and are non-refundable (“Use-It-or-Lose-It”).
- Arrears Billing on Excess Usage. If Customer’s actual usage of Consumable Credits exceeds the Prepaid Consumable Credits during the Consumption Period, such excess credits shall be billed monthly in arrears at Vivun’s then-current standard rate (or such rate defined in the Order Form). Customer shall be invoiced following the end of each calendar month in which excess Consumable Credits were consumed. Customer shall be notified within 24 hours of such excession of Prepaid Consumable Credits.
- Metered Consumable Credits. In addition to Prepaid Consumable Credits, Customer may access Consumable Credits on a not-prepaid, metered, basis (“Metered Consumables”) where the applicable pricing and unit of measure are set forth in an Order Form, other purchasing mechanism. Metered Consumables are billed in arrears based on actual usage at the rates and in the increments specified in the relevant purchasing document.
- Discretionary Nature of Arrears Billing. Customer acknowledges and agrees that any access to Consumable Credits on an arrears-billed basis, whether in the form of excess usage beyond prepaid Consumable Credits or as Metered Consumables, is provided solely at Vivun’s discretion and subject to operational controls. Vivun reserves the right to cap, throttle, suspend, or discontinue Customer’s access to arrears-billed Services at any time and for any reason, including but not limited to excessive usage, credit risk concerns, or service availability constraints. No such limitation or suspension shall give rise to any refund, offset, or liability on the part of Vivun. Vivun may require prepayment or additional assurances (such as purchase orders or deposits) as a condition to continued access to arrears-billed Services.
- Usage Notifications. Vivun shall provide usage notifications (through monthly usage statements, in-app notifications, or alerts when threshold reached), for tracking of the consumption of both Prepaid Consumable Credits and Metered Consumable Credits. Such Notification may be included in other Service billing charges.
- Service Availability. Customer acknowledges that each of the various Credit-Consuming Activities are offered on an “as-is” and “as-available” basis. Vivun cannot guarantee the availability of any particular Credit-Consuming Activities at any given time as certain types of Credit-Consuming Activities may be subject to scheduling limitations, processing availability, or other operational constraints. No refunds, extensions, or credits shall be issued due to lack of availability within the Consumption Period.
- Non-Transferability. Prepaid Consumable Credits are non-transferable and may only be used by Customer during the applicable Consumption Period.
- Price. The fees for the Consumable Credits are set forth in the applicable Order Form.
- Definitions.
- “Consumption Period" means the period during which Prepaid Consumable Credits must be used as specified in the Order Form (default: 12 months). If not otherwise specified consumption period will be coterminous with the then existing Subscription Period.
- “Consumable Credit” means units of usage purchased in advance, provided for free by Vivun, or consumed on a metered basis, that entitle Customer to access and use certain Services or Service Components provided by Vivun or its sub-processors (including but not limited to video avatar rendering, voice synthesis, transcription, and other compute-intensive features such as those which provide third-party generative voice models, animation synthesis engines, or AI rendering platforms, as well as the long term storage of those components). Consumable Credits represent the processing time or compute resource allocation used to fulfill such Services and may be subject to use-it-or-lose-it expiration, availability limitations, or overage billing as described in the applicable Supplemental Service Terms or Order Form. Consumable Credits do not confer ownership of underlying technologies or deliverables and are consumed solely for execution or fulfillment of the associated functionality. Consumption of Consumable Credits shall be calculated by Vivun in its sole discretion based on system logs, API usage data, or other telemetry, and such calculations shall be final and binding. Credits do not have any monetary value, may not be redeemed for cash, and may be used solely within the Service.
